Terms of Service

These Terms of Service ("Terms") govern your access to and use of PiyAPI's platform, APIs, SDKs, documentation, and related services (collectively, the "Services"). By creating an account or using the Services, you agree to these Terms.

1. Definitions

  • "Account" means your registered PiyAPI account, identified by email and API key(s).
  • "Content" or "Your Data" means any data, text, documents, memories, or materials you submit to the Services.
  • "Services" means the PiyAPI platform including the API, Dashboard, SDKs, and all cloud-hosted features.
  • "Subscription Plan" means the tier of service you have selected (Free, Starter, Pro, Team, or Enterprise).
  • "We", "us", "our" refers to PiyAPI Cloud Inc.

2. Services Description

PiyAPI provides an AI-native memory and context management platform. Core capabilities include:

  • Memory Store: Long-term semantic storage with automatic embedding generation, HIPAA-ready encryption, and namespace isolation.
  • Semantic Search: Hybrid vector + full-text search across your stored memories and documents.
  • Context Retrieval: Smart context window management for LLM applications with token-optimized output.
  • Knowledge Graph: Automatic entity extraction, relationship mapping, and graph-based memory retrieval.
  • Document Processing: Upload, parse, chunk, and embed PDF, DOCX, and plain-text documents.
  • Data Export: Full data portability via JSON/CSV export endpoints.
  • HIPAA Compliance Module: PHI detection, access logging, and encryption for healthcare applications.

We continuously improve the Services. New features may be added, and existing features may be modified. Material changes to the API will follow our deprecation policy (see Section 12).

3. Account Registration & Eligibility

To use the Services, you must:

  • Be at least 18 years of age or the age of majority in your jurisdiction.
  • Provide accurate and complete registration information.
  • Be authorized to bind the entity you represent (if registering on behalf of an organization).

You are responsible for maintaining the confidentiality of your account credentials and API keys. You must immediately notify us at security@piyapi.cloud if you suspect unauthorized access to your account.

4. Acceptable Use Policy

You agree not to use the Services to:

  • Violate any applicable law, regulation, or third-party rights.
  • Store, transmit, or process content that is illegal, defamatory, or infringing.
  • Attempt to reverse engineer, decompile, or extract the source code of the Services.
  • Circumvent or exceed rate limits, quotas, or usage restrictions of your Subscription Plan.
  • Use automated means (bots, scrapers) to access the Services beyond the intended API interface.
  • Interfere with, disrupt, or create an undue burden on the Services or its infrastructure.
  • Resell, redistribute, or sublicense the Services without written consent.
  • Use the Services to build a competing product or service.

We reserve the right to suspend or terminate accounts that violate this policy, with or without prior notice depending on the severity of the violation.

5. Intellectual Property Rights

Our Intellectual Property

PiyAPI and its licensors own all right, title, and interest in and to the Services, including all software, algorithms, APIs, documentation, trademarks, and the "PiyAPI" brand. These Terms do not grant you any right to use our trademarks or branding.

Your Data Ownership

You retain full ownership of all Content you upload to the Services. This includes your raw data ("Input"), the embeddings and metadata generated from your Input ("Output"), and any derivative works created by the Services based on your Input.

You grant PiyAPI a limited, non-exclusive, worldwide license to process, store, and transmit your Content solely as necessary to provide the Services to you and to comply with applicable law.

No AI Training on Your Data

We do NOT use your Content to train, fine-tune, or improve our AI/ML models without your explicit, opt-in written consent. Your data is yours alone.

6. Payment, Billing & Taxes

Subscription Plans

The Services are offered in tiered subscription plans (Free, Starter, Pro, Team, Enterprise). Current pricing and feature comparisons are available at piyapi.cloud/pricing.

Payment Processing

Payments are processed by Razorpay (for Indian customers) and/or other payment processors for international transactions. By subscribing, you agree to the respective payment processor's terms of service. We do not store your complete card details on our servers.

Currency: Indian Rupees (INR) for domestic transactions. International customers may be billed in USD according to current exchange rates.

Auto-Renewal

Paid subscriptions automatically renew at the end of each billing period (monthly or annually). We will send a reminder email at least 7 days before annual plan renewals. You may disable auto-renewal at any time from Dashboard → Settings → Billing.

Taxes

All prices are exclusive of applicable taxes. GST (Goods and Services Tax) at the prevailing rate will be added for customers in India. You are responsible for any other taxes applicable in your jurisdiction.

7. Free Tier Terms

The Free tier is provided at no cost for evaluation and non-commercial use. We reserve the right to modify Free tier quotas, features, or availability at any time with 30 days' notice.

  • Free tier accounts inactive for more than 90 consecutive days may be subject to data deletion after notification.
  • Free tier does not include SLA guarantees or priority support.
  • We may display a "Powered by PiyAPI" attribution for applications using the Free tier.

8. Service Level Agreement (SLA)

Enterprise SLA terms, including uptime targets, credit calculations, and exclusions, are defined in the applicable Master Services Agreement. Scheduled maintenance windows (announced 48h in advance) and force majeure events are excluded from uptime calculations for all plans.

9. Warranty Disclaimer

Important — Read Carefully

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PIYAPI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL.

Our total aggregate liability for any claims arising under or related to these Terms shall not exceed the total fees paid by you to PiyAPI in the twelve (12) months immediately preceding the event giving rise to the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless PiyAPI and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from: (a) your use of the Services; (b) your Content; (c) your violation of these Terms; or (d) your violation of any rights of a third party.

12. API Changes & Deprecation Policy

We are committed to API stability. Our deprecation commitments are:

  • Non-breaking changes (new endpoints, optional parameters): May be released at any time.
  • Breaking changes (removed endpoints, changed schemas): Minimum 90 days advance notice via email, dashboard notification, and API response headers.
  • Security patches: May be applied immediately without advance notice if required to protect user data.

13. Termination & Data After Termination

By You

You may terminate your account at any time from the Dashboard. Upon cancellation, your paid subscription ends at the close of the current billing period.

By Us

We may suspend or terminate your access if you violate these Terms, if required by law, or if we discontinue the Services (with at least 90 days' notice for discontinuation).

Data Retention After Termination

After account termination, we retain your data for 30 days to allow you to export it via the Export API or by contacting support. After 30 days, all Content is permanently deleted from our production systems. Backup copies may persist for up to 90 days before being purged.

14. Force Majeure

Neither party shall be liable for delays or failure to perform obligations under these Terms due to causes beyond its reasonable control, including but not limited to natural disasters, acts of war or terrorism, epidemics, power outages, internet service provider failures, or government actions.

15. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Republic of India, without regard to conflict of law principles.

Any disputes arising out of or relating to these Terms shall first be attempted to be resolved through good-faith negotiation for a period of 30 days. If unresolved, disputes shall be submitted to binding arbitration under the Arbitration and Conciliation Act, 1996, with the seat of arbitration in New Delhi, India.

Notwithstanding the above, either party may seek injunctive or equitable relief in the courts of New Delhi, India for any breach of intellectual property rights or confidentiality obligations.

16. General Provisions

Entire Agreement: These Terms, together with our Privacy Policy, Refund Policy, and any applicable Order Form or Enterprise Agreement, constitute the entire agreement between you and PiyAPI.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights in connection with a merger, acquisition, or sale of assets.

Waiver: Failure to enforce any provision of these Terms does not constitute a waiver of that provision.

17. Changes to These Terms

We may modify these Terms from time to time. If we make material changes, we will notify you at least 30 days in advance via email and/or a prominent notice in the Dashboard. Continued use of the Services after the changes take effect constitutes your acceptance of the revised Terms. If you disagree, you may terminate your account before the changes take effect.
